These Terms of Use govern access to, browsing and use of the Website, without prejudice to NEOTEX reserving the right to modify the presentation, configuration and content thereof, as well as the conditions required for access and/or use. Access to and use of the Website contents following the entry into force of any such modifications or changes shall imply acceptance thereof.

Notwithstanding the foregoing, access to certain content and the use of certain services may be subject to specific terms and conditions, which shall in all cases be clearly displayed and must be expressly accepted by users. Such specific terms and conditions may replace, supplement or, where applicable, amend these Terms of Use.

NEOTEX reserves the right to modify, in whole or in part, the terms and conditions set out herein, by publishing any changes in the same manner in which these Terms of Use are displayed or through any other form of communication addressed to users.

Likewise, users are hereby informed of their rights and obligations in relation to the content made available through the Website, as well as the logos and trademarks used, and of the liabilities that may arise from the use of the service.

For the purposes of interpreting these Terms of Use, a person shall be deemed to be a user at the moment they accept the Terms of Use and the Privacy Policy set out on the Website, it being sufficient to visit the Website for such acceptance to take place.

3.- ACCESS

Access to the content of the Website is completely free of charge. Access to the Website by minors is prohibited. Notwithstanding the foregoing, should a minor access and register on the Website, such access shall be presumed to have been carried out with the prior and express authorization of their parents, guardians or legal representatives, without prejudice to NEOTEX reserving the right to carry out any verifications it deems appropriate.

Access to and browsing of the Website do not require prior registration. However, in order to receive advertising, information and periodic offers relating to our promotional campaigns and products, users must complete the corresponding web forms made available for this purpose. Registration is free of charge.

Under no circumstances shall NEOTEX be held responsible for the accuracy of the data provided by users. Each user shall be solely responsible for any consequences, errors or damages that may arise from the lack of accuracy or quality of the data provided.

4.-INTELLECTUAL AND INDUSTRIAL PROPERTY

NEOTEX is the owner or, where applicable, holds the relevant licenses to the intellectual and industrial property exploitation rights of the Website, as well as of all content made available therein, including texts, photographs or illustrations, logos, trademarks, graphics, designs, interfaces, and any other information or content, and the services available through it.

In no event shall the user’s access to, browsing or use of the Website be construed as a waiver, transfer, license or assignment, in whole or in part, of such rights by NEOTEX. The user is granted a right to use the Website content strictly for personal, non-commercial purposes and solely for the purpose of enjoying the Website functionalities in accordance with these Terms of Use.

References to registered trademarks or trade names, or other distinctive signs, whether owned by NEOTEX or by third parties, imply the prohibition of their use without the consent of NEOTEX or their legitimate owners. At no time, unless expressly stated otherwise, does access to, browsing or use of the Website and/or its contents grant the user any rights over the distinctive signs included therein.

All intellectual and industrial property rights in the content and/or services of the Website are reserved. If the user submits any kind of information to NEOTEX through any of the channels enabled for this purpose, the user declares, warrants and accepts that they are entitled to do so freely and that such information is not confidential and is not harmful to third parties. The user acknowledges and assumes full responsibility and agrees to indemnify NEOTEX for any communication provided personally or on their behalf, including, without limitation, the accuracy, legality, originality and ownership thereof.

If the user becomes aware of any unlawful or illegal content, content contrary to the law, or content that may infringe intellectual and/or industrial property rights, they must immediately notify NEOTEX at neotex@neotex.com so that NEOTEX may take the appropriate measures.

Likewise, if any user or third party considers that any content on the Website owned by NEOTEX infringes their intellectual and/or industrial property rights, or any other rights, they must send a notice to neotex@neotex.com including information regarding the rights allegedly infringed by NEOTEX.

5.- LINKS

5.1. Links to Other Websites

If the Website displays links to other websites through buttons, links, banners or embedded content, NEOTEX informs users that such websites are managed directly by third parties. NEOTEX has neither the human nor technical means to priorly know, control or approve all the information, content, products or services provided by other platforms to which links may be established from the Website.

Accordingly, NEOTEX shall not assume any responsibility for any aspect related to the platform or website to which a link may be provided from the Website. If users become aware that activities carried out through such third-party websites are illegal or contravene morality and/or public order, they must immediately notify NEOTEX so that the access link may be disabled as soon as possible.

In any event, the establishment of any type of link from the Website to another external website shall not imply the existence of any relationship, collaboration or dependency between NEOTEX and the owner of such external website.

5.2. Links to NEOTEX Channels on Other Platforms and Social Networks

NEOTEX provides users, through various tools and applications, with links that allow access to NEOTEX channels and pages maintained on different third-party platforms and social networks (including Facebook, Twitter, Instagram and LinkedIn). The sole purpose of including these links on the Website is to facilitate user access to such channels.

The inclusion of these links does not imply the existence of any relationship between NEOTEX and the owner, manufacturer or distributor of the linked platform, nor does it imply NEOTEX’s acceptance or approval of their content and/or services, for which the respective owners are solely responsible.

NEOTEX does not share any private user information with current or future social networks. Any information that users choose to provide to such platforms is done under their own responsibility, and NEOTEX does not intervene in such processes.

The activation and use of these applications may require user identification and authentication (login/password) on the respective platforms, which are external to the Website and beyond NEOTEX’s control. By accessing such external platforms, users enter environments not controlled by NEOTEX, and therefore NEOTEX assumes no responsibility for their security configurations.

NEOTEX shall not be liable for the content, services, products, advertising or any other materials available on such platforms. Users are advised to exercise caution when evaluating and using the information, content and services available on linked channels, as well as when sharing their own or third-party information on such platforms.

5.3. Links from Other Websites to the Website

NEOTEX does not authorize the establishment of links to the Website from websites containing unlawful, illegal, degrading or obscene content, or content that otherwise contravenes the law, morality, public order or generally accepted social standards.

Users may establish links to the Website from their own websites provided that the following conditions are met:
a) the link shall not reproduce the Website or any part thereof in any form;
b) no browser or border environment may be created around sections of the Website, nor may the Website be modified in any way;
c) no false, inaccurate or misleading statements may be made regarding the Website, nor may it be implied that NEOTEX has authorized, supervised or assumed responsibility for the content or services of the website containing the link;
d) the website containing the link shall not include unlawful content, content contrary to morality or public order, or content infringing third-party rights, including intellectual and industrial property rights, rights to honor, personal or family privacy, image rights, or data protection regulations.

NEOTEX has neither the authority nor the technical or human means to know, control or approve all the information, content, products or services provided by websites that link to the Website, and therefore assumes no responsibility whatsoever in relation to such websites.

No está permitido y, por tanto, sus consecuencias serán de la exclusiva responsabilidad del usuario, el acceso o la utilización del Sitio Web con fines ilegales o no autorizados, con o sin finalidad económica. En particular, usar el Sitio Web en forma alguna que pueda provocar daños, interrupciones, ineficiencias o defectos en su funcionamiento o en el ordenador de un tercero, para la transmisión de cualquier virus, código malicioso u otros programas o archivos perjudiciales, usar el Sitio Web de forma ilegal, en contra de la buena fe, la moral y el orden público, quebrantar, o intentar quebrantar, las medidas de seguridad del Sitio Web o de cualquier red conectada al mismo, o las medidas de seguridad o protección inherentes a los contenidos ofrecidos en el Sitio Web, o llevar a cabo alguna acción que provoque una saturación desproporcionada o innecesaria en la infraestructura del Sitio Web o en los sistemas o redes del NEOTEX.

NEOTEX cannot guarantee the reliability, usefulness or accuracy of all the information and/or services available on the Website, nor the usefulness or accuracy of the documentation made available through it.

Accordingly, NEOTEX does not guarantee nor shall it be liable for:
(i) the continuity of the Website content;
(ii) the absence of errors in such content;
(iii) the absence of viruses and/or other harmful components on the Website or on the server providing it;
(iv) the invulnerability of the Website and/or the impossibility of breaching the security measures adopted;
(v) the lack of usefulness or performance of the Website content; and
(vi) any damages or losses caused, to itself or to third parties, by any person who infringes the conditions, rules and instructions established by NEOTEX on the Website or through the breach of the Website’s security systems.

Notwithstanding the foregoing, NEOTEX declares that it has adopted all necessary measures, within its capabilities and the current state of technology, to ensure the proper functioning of the Website and to minimize system errors, both from a technical standpoint and with regard to the content published on the Website.

In any event, NEOTEX reserves the right to suspend, modify, restrict or interrupt, whether temporarily or permanently, access to, browsing of, use of, hosting and/or downloading of content and/or use of the Website services, with or without prior notice, for users who breach any of the provisions set out in these Terms of Use, without the user being entitled to claim any compensation for such actions.

Likewise, NEOTEX may modify the terms and conditions set out herein, in whole or in part, by publishing any such changes in the same manner in which these Terms of Use are displayed or through any form of communication addressed to users.

These Terms of Use shall remain in force for the duration of their publication, until they are modified in whole or in part, at which time the amended Terms of Use shall become effective. Should any provision of these Terms of Use be declared null or unenforceable, in whole or in part, by any competent court, tribunal or administrative authority, such nullity or unenforceability shall not affect the validity of the remaining provisions.

The failure by NEOTEX to exercise or enforce any right or provision contained in these Terms of Use shall not constitute a waiver thereof, unless expressly acknowledged and agreed in writing by NEOTEX.

11.- APPLICABLE LAW AND JURISDICTION

Where applicable law so permits, Spanish law shall govern any dispute, claim or controversy arising out of or relating to this Website. The parties submit to the jurisdiction of the Courts and Tribunals of Madrid, Spain, without prejudice to the submission, where applicable, to Consumer Arbitration Courts or similar bodies to which NEOTEX may be affiliated at the time the dispute arises.
